TERMS AND CONDITIONS

1. INTRODUCTION AND ACCEPTANCE

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “Member,” or “you”) and Kelly From Deli LLC d/b/a Barterloo, a Florida Limited Liability Company (“Company,” “we,” “us,” or “our”).

By accessing our website (Barterloo.com), mobile application, beta version, app store version, or any related Barterloo service (collectively, the “Service” or “Platform”), you agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE PLATFORM.

2. DEFINITIONS

• “Individual Member”: A natural person using the Platform for private, non-commercial barter and social interaction.
• “Biz Starter”: A User utilizing the Platform for early-stage commercial activity, side-hustles, freelance activity, or low-volume trading.
• “Biz Pro”: A User utilizing the Platform for established commercial activity, subject to business verification.
• “Offer”: A transactional listing proposing a barter, trade, service exchange, or permitted deal.
• “Post”: Non-transactional social content, such as updates, stories, comments, or community interaction.
• “Barter Transaction”: The exchange of goods, services, skills, knowledge, or other permitted value between Users.
• “Beta Launch Phase”: The operational phase in which the Platform is available to early Users while features, performance, app store availability, and user experience are still being tested and improved.
• “Dispute”: A disagreement, complaint, report, or support case between Users concerning a Barter Transaction, Offer, Post, behavior, fraud allegation, or Platform misuse.
• “Strike”: An internal enforcement marker that may be applied to a User account after serious rule violations, lost Disputes, confirmed misconduct, fraud-related behavior, or repeated abuse of the Platform.

3. ACCOUNT ELIGIBILITY AND VERIFICATION

3.1. Age Requirement. You must be at least 18 years old to create an account.

3.2. Account Security. You are responsible for maintaining the confidentiality of your login credentials. You accept full responsibility for all activities that occur under your account.

3.3. Identity Verification.
To maintain a safer community, Barterloo may require identity verification.

• Third-Party Processing: We may use third-party providers, including Stripe Identity, to process identity documents, verification checks, and related data.
• Data Privacy: Barterloo does not store your raw government ID files on our own servers. By submitting your data to a third-party verification provider, you agree to that provider’s applicable terms and privacy policy.
• Requirement: We reserve the right to suspend, restrict, downgrade, or refuse accounts that fail to provide requested verification or provide false, incomplete, or misleading information.

4. MEMBERSHIP TIERS AND PERMITTED USE

4.1. Individual Tier

• Scope: For personal, private use.
• Restrictions: You may not use an Individual account for mass-selling, promoting a registered business, recurring commercial services, or high-volume commercial activity.
• Non-Transferable: Individual memberships are personal and cannot be sold, transferred, rented, or shared.

4.2. Biz Starter Tier

• Scope: Designed for side-hustles, freelancers, creators, local providers, and early-stage projects.
• Threshold: Intended for low-volume commercial activity. If your revenue, transaction volume, or activity exceeds what is reasonably considered early-stage or low-volume commercial activity, we may require you to upgrade to Biz Pro.

4.3. Biz Pro Tier

• Scope: For registered businesses, established providers, and high-volume traders.
• Verification: We may request proof of business status, such as business registration, tax identification, website, public listing, or comparable evidence. If such proof is invalid, incomplete, or misleading, we may restrict access to Biz features or revert the account to another tier.

5. FEES, PAYMENTS, BETA LAUNCH, AND APP STORE AVAILABILITY

5.1. Beta Launch Phase.
You acknowledge that Barterloo is currently in its Beta Launch Phase. The Platform may contain bugs, incomplete features, limited availability, design changes, performance issues, or functionality that changes over time.

5.2. App Store Availability.
Barterloo is planned to become available in the Apple App Store and Google Play Store before mid-May 2026. App store availability depends on development progress, third-party review processes, technical requirements, and platform approvals. Dates are estimates and may change.

5.3. Project Cancellation & Refunds.

• Cancellation Policy: In the unlikely event that the Barterloo project is officially abandoned or cancelled before full public launch, we will issue a full refund of qualifying pre-launch membership purchases.
• Refund Window: Refunds under this cancellation clause will be processed within thirty (30) days of the official cancellation announcement.
• Standard Refunds: Outside of project cancellation, statutory rights, or explicitly advertised refund guarantees, fees are non-refundable.

5.4. Subscription & Renewal.
Subscriptions automatically renew unless canceled at least 24 hours before the renewal date.

5.5. Verification Fees.
A one-time verification fee may apply to cover identity verification processing costs. This fee is non-refundable once the verification attempt is made.

6. FAIR USE POLICY

6.1. Definition. “Unlimited” means usage without a fixed numeric cap, subject to this Fair Use Policy.

6.2. Abuse. You may not use automation, bots, scripts, scraping, mass messaging, spam patterns, or excessive manual usage that burdens our infrastructure, degrades other Users’ experience, or manipulates Platform activity.

6.3. Enforcement. If your activity significantly exceeds normal User behavior, resembles spam, creates technical load, manipulates visibility, or harms the community, we reserve the right to apply temporary or permanent technical limits, restrict features, suspend your account, or terminate your access.

7. PROHIBITED CONDUCT AND CONTENT RULES

7.1. Illegal Content and Illegal Activity.
You may not post, offer, request, promote, exchange, or facilitate anything illegal, fraudulent, stolen, counterfeit, dangerous, or otherwise prohibited by applicable law.

7.2. Pornography and Sexual Content.
Pornographic content, sexually explicit content, sexual services, escort services, adult sexual offers, and sexual exploitation content are strictly prohibited on Barterloo.

7.3. Respect for Other Users and Their Offers.
Barterloo is built around community, respect, and constructive exchange. You must treat other Users, their Posts, and their Offers with respect. You may not publish negative, insulting, degrading, mocking, harassing, defamatory, or abusive comments about other Users or their Offers.

7.4. No Harassment or Abusive Behavior.
You may not threaten, stalk, harass, intimidate, shame, bully, impersonate, or repeatedly contact another User after being asked to stop.

7.5. The “No Dropshipping” Rule.
We strictly prohibit the listing of mass-produced, generic factory goods. You may not:

• Engage in dropshipping or reselling from third-party marketplaces, including AliExpress, Temu, Shein, Amazon FBA, or similar sources.
• Present factory-made items as handmade, vintage, unique, local, or self-produced.
• Use the Platform primarily to drive traffic to external e-commerce links.

Violation of this clause may result in immediate account suspension.

7.6. Offers vs. Posts.

• Offers: Must be used for trade proposals, service exchanges, and transactional listings.
• Posts: Must be used for social content and community interaction.
• Restriction: You may not bypass Offer limits by publishing trade proposals as Posts, repeatedly posting “DM me to trade,” or using comments to avoid Platform rules.

7.7. Misrepresentation.
You may not misrepresent your identity, business status, location, item condition, ownership, skills, qualifications, availability, or the value of an Offer.

7.8. Fraud and Bad-Faith Behavior.
Fraud, scam attempts, chargeback abuse, false reports, intentional non-delivery, repeated cancellations, bait-and-switch behavior, and bad-faith Disputes are prohibited.

8. DISPUTES, STRIKES, AND ACCOUNT ENFORCEMENT

8.1. User Disputes.
Barterloo may provide support tools or review information related to Disputes between Users. However, Barterloo is not a court, arbitrator, escrow provider, or guarantor of any Barter Transaction.

8.2. Strike Policy.
We may apply a Strike to your account if you lose a Dispute, violate these Terms, engage in fraud-related behavior, abuse other Users, misrepresent an Offer, or repeatedly create problems for the community.

8.3. Three-Strike Rule.
If your account receives three (3) Strikes, we reserve the right to suspend, restrict, or permanently terminate your account. Serious violations, fraud, illegal activity, harassment, pornography, or safety-related issues may result in immediate suspension or termination without waiting for three Strikes.

8.4. Internal Review.
Strike decisions, Dispute outcomes, and enforcement actions may be based on available Platform data, User reports, communication history, transaction behavior, verification status, and support review. We are not required to disclose internal moderation systems, risk scores, fraud signals, or enforcement logic.

9. THE BARTER TRANSACTION AND LIABILITY

9.1. Venue Only.
Barterloo is a venue and community platform. We are not a party to, nor do we control, the actual Barter Transaction. We do not guarantee the quality, safety, legality, value, authenticity, availability, or condition of items, services, skills, or Offers listed by Users.

9.2. User Responsibility.
You are solely responsible for your interactions with other Users. You agree to conduct your own due diligence before exchanging goods, services, skills, knowledge, or other value.

9.3. Release.
You release Kelly From Deli LLC, Barterloo, and our officers, directors, agents, contractors, service providers, and employees from claims, demands, losses, liabilities, and damages of every kind and nature, known and unknown, arising out of or in any way connected with Disputes or interactions between you and other Users.

10. DISCLAIMERS AND LIMITATIONS

10.1. Service Availability.
We aim for high uptime but do not guarantee that the Platform will be uninterrupted, secure, error-free, bug-free, or available at all times.

10.2. Beta Disclaimer.
During the Beta Launch Phase, features may be added, removed, limited, reset, redesigned, or changed without prior notice. User experience, availability, performance, and technical behavior may differ from the final app store version.

10.3. Limitation of Liability.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED EIGHTY DOLLARS ($180) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.

11. TERMINATION

We may suspend, restrict, or terminate your access immediately, without prior notice or liability, for any reason permitted by law, including if you breach these Terms, violate Community Guidelines, abuse the Platform, receive three (3) Strikes, engage in fraud-related behavior, post prohibited content, harass other Users, or violate the Anti-Dropshipping policy.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1. Governing Law.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

12.2. Jurisdiction.
You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within Florida for the resolution of any disputes.

12.3. Class Action Waiver.
You agree that any action or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, no action or proceeding shall be joined with any other, and there is no right or authority for any dispute to be resolved on a class-action, collective-action, or representative-action basis.
